возмездного оказания консультационных и образовательных услуг

Общие положения
1.1. Настоящий публичный договор-оферта (далее – Оферта или Договор) является предложением Индивидуального предпринимателя Зайкова Максима Сергеевича, ИНН 742205834870, почтовый адрес: 620062, Россия, г. Екатеринбург, ул. Генеральская, д.3, оф.426, (далее — Исполнитель), и содержит все существенные условия по оказанию отдельных образовательных услуг и консультационных услуг, перечень которых публикуется в сети Интернет на сайте globamba.com. Зарегистрированный знак обслуживания “Global Ambassador” используется ИП Зайков Максим Сергеевич для оказания услуг по настоящему
договору-оферте.
Образовательные услуги оказываются согласно Лицензии на осуществление образовательной деятельности № 19343 от 27 марта 2017 года выданной Министерством общего и профессионального образования Свердловской области по подвиду деятельности “Дополнительное образование детей и взрослых”. Консультационные услуги оказываются согласно ГК РФ.
1.2. В соответствии с пунктом 2 статьи 437 Гражданского Кодекса Российской Федерации (далее – ГК РФ) данный документ является публичной офертой и, в случае принятия изложенных ниже условий и оплаты услуг Исполнителя, лицо, совершившее акцепт этой Оферты, становится Заказчиком в соответствии с пунктом 3 статьи 438 ГК РФ, акцепт Оферты равносилен заключению договора на условиях, изложенных в Оферте.
1.3. Осуществляя оплату услуг, Заказчик гарантирует, что уже ознакомлен и принимает все условия Оферты в том виде, в каком они изложены в тексте настоящей Оферты, а также ознакомлен и согласен со стоимостью Услуги, указанными на Сайте Исполнителя и в Онлайн Системе.
Термины и определения
2.1. Акцепт оферты – полное и безоговорочное принятие оферты путем осуществления Заказчиком действий по внесению предварительной оплаты за оказание информационно -консультационных услуг.
Акцепт оферты создает Договор оферты.
2.2. Договор-оферта – договор между Исполнителем и Заказчиком на оказание
информационно-консультационных услуг и образовательных услуг, который заключается посредством акцепта Оферты.
2.3. Заказчик – лицо, осуществившее акцепт оферты и осуществляющий оплату Исполнителю за услуги по настоящему Договору.
2.4. Слушатель – непосредственный потребитель услуг Исполнителя по настоящему Договору. Может совпадать с Заказчиком.
2.5. Сайт – комплекс программных средств и данных, размещенных в сети Интернет по сетевому адресу: https://globamba.com.
2.6. Онлайн система – комплекс программных средств и данных, размещенных в сети Интернет по сетевому
адресу https://globamba.com, представляющее собой систему ведения учета услуг и расписания оказания услуг, оказываемых Исполнителем Заказчику.
Предмет Договора.
3.1.Исполнитель обязуется оказать консультационную или образовательную услугу онлайн (Далее по тексту –
«Услуга») на выбор для Слушателя, по графику, установленному в личном кабинете Заказчика в Онлайн
системе, предполагаемая дата начала оказания Услуги – дата акцепта настоящей оферты, предполагаемая дата окончания оказания Услуги – не более через через две недели с последней оплаты Заказчика по настоящему договору, общий объем оказываемых услуг устанавливается Исполнителем в личном кабинете Заказчика в Онлайн системе, а Заказчик обязуется оплатить указанные Услуги Исполнителя на условиях изложенных ниже. Академический час в рамках данного договора равен 45 минутам.
3.2 Настоящий договор является предложением (офертой) Исполнителя и выражает его намерение заключить договор с Заказчиком на оказание услуг, указанных в п. 1.1 Договора. Срок действия оферты — все время публикации данной оферты на Сайте. Оферта не требует скрепления печатями и/или подписания Заказчиком и Исполнителем, сохраняя при этом полную юридическую силу.
4.Права сторон.
4.1.Исполнитель имеет следующие права:
4.1.1. Самостоятельно выбирать содержание и систему оказания Услуги для Слушателя, а также технические решения для оказания Услуги.
4.1.2. По своему усмотрению выбирать состав специалистов, участвующих в процессе оказания Услуги (далее по тексту – Специалистов), в том числе осуществлять замену Специалистов в случае болезни, командировки или по иным причинам, привлекать третьих лиц для оказания Услуг.
4.1.3. В случае выявления причин, препятствующих продолжению посещений Слушателем консультаций или занятий в рамках Услуги, Исполнитель в праве отказать в дальнейших посещениях Слушателю и расторгнуть настоящий договор с возвратом денежных средств, за вычетом стоимости фактически оказанных Услуг в рамках настоящего Договора.
4.1.4. Исполнитель имеет право не возвратить денежные средства за пропущенные Слушателем консультации и занятия в размере их стоимости.
4.1.5. Изменять расписание оказания Услуг, по согласованию с Заказчиком или Слушателем.
4.1.6. Отправлять Заказчику и Слушателю сообщения в системах обмена сообщениями Skype, приложении для мобильных телефонов WhatsApp, Viber, Telegram или другим способом, гарантирующим доставку текстовых и голосовых сообщения от Исполнителя Заказчику или Слушателю, по электронной почте на адрес электронной почты, указанный Заказчиком в качестве контактного при обращении к Исполнителю или в личном кабинете Онлайн системы, или в коротких текстовых сообщениях (SMS), отправляемых посредством
сети сотовой связи на телефонный номер Заказчика и Слушателю, указанный ими в качестве контактного при обращении к Исполнителю или в личном кабинете Онлайн системы (далее “Системы обмена сообщениями”), а также звонить Заказчику и Слушателю на номер телефона, указанный ими в качестве контактного при обращении к Исполнителю или в личном кабинете Онлайн системы, по вопросам, касающимся исполнения настоящей Оферты или деятельности Исполнителя.
4.2. Заказчик имеет следующие права:
4.2.1. Получать в полном объеме услуги, оказание которых регламентируется настоящим договором, на условиях настоящего Договора.
4.2.2. Получать полную и достоверную информацию о содержании выбираемой им Услуги.
4.2.3. Требовать замены специалиста, непосредственно оказывающего Услугу, в случае обнаружения недобросовестного отношения со стороны Исполнителя.
Примечание: если Заказчик и Слушатель являются разными лицами, то все права, перечисленные в п. 4.2 настоящего договора, относятся к Слушателю.
Обязанности сторон.
5.1. Исполнитель принимает на себя следующие обязательства:
5.1.1. Оказать Услугу, указанную в п. 3.1 настоящего договора и указанную в Онлайн системе при условии своевременной и полной оплаты Заказчиком выбранной Услуги в размере, определенном в п. 6 настоящего Договора.
5.1.2. Оказать Услугу в полном объеме в сроки и на условиях, установленных в п.3 настоящим Договором.
5.2. Заказчик принимает на себя следующие обязательства:
5.2.1. Добросовестно посещать консультации и занятия в рамкаху Услуги согласно расписанию, установленному в Онлайн системе.
5.2.2. Оплатить стоимость Услуги в объеме и в срок, указанные в п. 6 настоящего договора.
5.2.3. Выполнять рекомендации Специалиста по подготовке к консультациям и занятиям в рамках Услуги.
5.2.4. Соблюдать дисциплину и общепринятые нормы поведения, в частности проявлять уважение к административному и иному персоналу Исполнителя и иным лицам, задействованным в исполнении настоящего договора.
Примечание: в случае, если Заказчик и Слушатель являются разными лицами, то все перечисленные обязанности, за исключением п. 5.2.2 относятся к Слушателю. Заказчик обязуется ознакомить Слушателя с содержанием раздела 5.2 и разъяснить ему возникающие у Слушателя обязательства по настоящему договору.
5.2.5 Заказчик должен обеспечить наличие у Слушателя программного обеспечения и учетных записей на отдельных веб-сайтах в сети Интернет, указанных Исполнителем до или в процессе оказания Услуги
посредством Систем обмена сообщениями, а также иных технических условий для оказания Услуги Исполнителем и указанным Исполнителем Заказчику посредством Систем обмена сообщениями. Все сообщения, доставленные Заказчику и Слушателю от Исполнителя посредством Систем обмена сообщениями касательно технического обеспечения оказания Услуги являются неотъемлемой частью настоящей Оферты.
Стоимость и порядок расчетов
6.1. Стоимость услуг Исполнителя, определенных в пунктах 3.1 Договора, устанавливается Исполнителем в личном кабинете Заказчика на сайте globamba.com.
6.2. Оплата стоимости услуг Исполнителя производится в форме 100% предоплаты за каждое занятие и консультацию в отдельности или за несколько занятий и консультаций согласно расписанию, установленному в личном кабинете заказчика на сайте globamba.com. Оплата производится посредством электронного платежа с использованием банковской карты Заказчика на соответствующей странице globamba.com в сети интернет. Основанием для допуска Слушателя к консультации и занятия служит факт зачисления денежных средств на расчетный счет Исполнителя или совершение электронного платежа.
6.3. Оплата Заказчиком услуг по настоящему Договору будет считаться полным и безоговорочным согласием (акцептом) с условиями, содержащимися в настоящем Договоре (заключением Договора). В случае такой оплаты Исполнитель обязуется оказать поименованные выше услуги надлежащим образом и в указанный срок. Если счёт не оплачен по истечении действия оферты, указанной в п. 3.2 настоящего Договора, то она
признаётся отозванной, а договор не считается заключённым.
Ответственность по настоящему договору.
7.1. В случае неисполнения или ненадлежащего исполнения Исполнителем обязательств, по настоящему договору, он несет ответственность, предусмотренную гражданским законодательством РФ и законодательством о защите прав потребителей.
7.2. При нанесении материального вреда (Заказчиком или Слушателем) Исполнителю во время оказания Услуг, Заказчик несет ответственность по нормам действующего гражданского законодательства РФ.
7.3. В случае невозможности исполнения обязательств Исполнителем, возникшим по вине Заказчика или Слушателя, а именно прогулы, опоздания более чем на 20 минут от запланированного времени начала оказания Услуги (начала занятия) и неявка, услуги подлежат оплате в полном объеме, оплата за пропущенные Услуги не возвращается. Исключение составляют обстоятельства, поименованные в п.9.2, 9.3 и 9.4 настоящего договора.
Основания изменения и расторжения договора.
8.1. Изменение условий настоящего договора и его расторжение возможны по соглашению сторон или в соответствии с действующим законодательством.
8.2. Исполнитель оставляет за собой право внести изменения в условия Оферты и/или отозвать Оферту в любой момент по своему усмотрению. В случае внесения изменений в Оферту, такие изменения вступают в силу с момента опубликования на Сайте, если иной срок вступления в силу не установлен или не определен при опубликовании изменений Оферты.
8.3. Заказчик вправе отказаться от исполнения настоящего Договора при условии оплаты Исполнителю фактически понесенных им расходов и оплаты фактически оказанных Услуг. При расторжении договора или отказе от исполнения договора по каким-либо причинам, заинтересованная сторона обязана уведомить письменно об этом другую сторону за 10 (десять) рабочих дней.
8.4. Исполнитель вправе отказаться от исполнения настоящего Договора при условии возврата Заказчику денежных средств за все отмененные в связи таким отказом консультации и занятия, предусмотренные в рамках Услуги, и уведомив Заказчика за 10 (десять) рабочих дней.
8.5. Основанием для расторжения договора так же является неисполнение Слушателем или Заказчиком условий, предусмотренных п. 6.2, 7.2 и 7.3 настоящего договора, а также нахождение Слушателя или Заказчика на консультациях и занятиях в состоянии алкогольного или наркотического опьянения.
Дополнительные условия
9.1. При невозможности посещения Слушателем индивидуальных консультаций или индивидуальных занятий, Слушатель обязан предупредить представителей Исполнителя о невозможности посещения консультаций или занятий не менее чем за 5 рабочих часов до начала ближайшей консультации или занятия, в противном случае Исполнитель взимает с Заказчика оплату за пропуск в размере стоимости одного академического часа, установленной настоящим Договором. При пропуске индивидуальной консультации или
индивидуального занятия без предупреждения Исполнитель взимает с Заказчика оплату в полном размере стоимости консультации или занятия. Перерасчет стоимости оплаченных и пропущенных по причине болезни индивидуальных консультаций или индивидуальных занятий производится только при предоставлении Слушателем надлежаще оформленного больничного листа или его ксерокопии и с учетом только фактически пропущенных Слушателем консультаций или занятий, попадающих на период действия больничного листа,
при этом Слушатель может скрыть наименование заболевания в копии больничного листа.
При невозможности посещения Слушателем групповых консультаций или групповых занятий, Исполнитель предоставляет Слушателю видеозапись пропущенных им занятий и предоставляет учебные материалы для самостоятельного изучения, при их наличии у Исполнителя. При пропуске групповой консультации или группового занятия Исполнитель взимает с Заказчика оплату в полном размере стоимости таких консультаций или занятий. Перерасчет стоимости пропущенных по причине болезни групповых консультаций или групповых занятий производится только при предоставлении Слушателем надлежаще
оформленного больничного листа или его ксерокопии и с учетом только фактически пропущенных Слушателем консультаций или занятий, попадающих на период действия больничного листа, при этом Слушатель может скрыть наименование заболевания в копии больничного листа. Исполнитель оставляет за собой право по собственному усмотрению не взимать с Заказчика оплату за пропущенные Слушателем занятия или консультации в случаях, не предусмотренных в настоящем пункте, а Слушатель и Заказчики признают за Исполнителем такое право.
9.2. При невозможности посещения Слушателем консультации, Исполнитель предлагает Слушателю провести консультацию или занятие, аналогичную пропущенным, в рамках Услуги в отдельно согласованное время, а Слушатель прикладывает все усилия, чтобы посетить такую консультацию или занятие, при этом оплата за пропуск, предусмотренная п.7.3 настоящего Договора, взимается с Заказчика или со Слушателя в качестве пени.
9.3. Исполнитель вправе изменить стоимость услуг с обязательным уведомлением Заказчика не менее чем за 7 календарных дней. В случае несогласия Заказчика с изменением цены, договор считается расторгнутым с возвратом Заказчику авансовых платежей за не проведенные Исполнителем консультации или занятия.
Слушателю или Заказчику может быть предложено зачисление в другую аналогичную группу.
9.4. Договор вступает в силу с момента оплаты услуг и действует до окончания консультаций или занятия. Если по факту оказания услуг Заказчик в течение 3-х дней не предъявит претензий, то услуга считается оказанной надлежащим образом, при этом составления акта об оказании услуг не требуется.
9.5. При возникновении споров, связанных с исполнением сторонами обязательств по настоящему Договору, стороны предпримут все усилия для их разрешения путем переговоров в досудебном порядке. В случае если взаимное согласие между сторонами не достигнуто, спор передается на рассмотрение в суд по месту нахождения Исполнителя.
Для разрешения любых технических и иных сложностей, проблем, предъявления рекламаций Заказчик согласен использовать номера телефона Исполнителя или Системы обмена сообщениями, указанные на Сайте в разделе “Контакты” как первый и приоритетный способ связи с Исполнителем.
9.6. Во всем остальном, что не предусмотрено настоящим договором, Стороны будут руководствоваться действующим законодательством РФ.
9.7 В соответствии с Федеральным законом от 27.07.2006 № 152 ФЗ «О персональных данных» Заказчик дает согласие Исполнителю на обработку (с использованием и без использования средств автоматизации) персональных данных Заказчика и Слушателя, указанных в настоящем Договоре и передаваемых Исполнителю в целях заключения и исполнения настоящего Договора.
9.8. Стороны признают, что, если какое-либо из положений Оферты становится недействительным в течение срока его действия вследствие изменения законодательства, остальные положения Оферты обязательны для Сторон в течение срока действия Оферты.
9.9. Исполнитель не несет ответственности за результат использования или полезность оказываемых Услуг. В случае несоответствия состава Услуг, предоставляемых в рамках действующего Договора-оферты, потребностям или ожиданиям Заказчика, Исполнитель ответственности не несет.
Форс-мажор
10.1. Стороны освобождаются от ответственности за полное или частичное неисполнение обязательств по Оферте в случае, если неисполнение обязательств явилось следствием действий непреодолимой силы, а именно, но не ограничиваясь: пожара, наводнения, землетрясения, забастовки, массовых беспорядков, войны или военных действий, действий органов государственной власти, введения комендантского часа, режима ЧС, карантина или других независящих от Сторон обстоятельств.
10.2. Сторона, которая не может выполнить обязательства по Оферте, должна своевременно, но не позднее пяти календарных дней после наступления обстоятельств непреодолимой силы, письменно известить другую Сторону, с предоставлением обосновывающих документов, выданных компетентными органами или без предоставления таковых.
10.3. Исполнитель не несет ответственности за временные сбои и перерывы в работе интернет ресурсов, программного обеспечения или оборудования Исполнителя и вызванную ими потерю информации, сбои в предоставлении Услуг по вине третьих лиц и технических сбоев, поломок, зависания или перебоев в работе оборудования, необходимого для оказания услуг.

This personal data processing policy has been drawn up in accordance with the requirements of the Federal Law of July 27, 2006. 1.2. This Operator’s policy regarding the processing of personal data (hereinafter referred to as the Policy) applies to all information that the Operator can receive about visitors to the website https://globamba.com.

Basic concepts used in the Policy

2.1. Automated processing of personal data – processing of personal data using computer technology.

2.2. Blocking of personal data is a temporary suspension of the processing of personal data (unless the processing is necessary to clarify personal data).

2.6. 2.7. Operator – a state body, municipal body, legal entity or individual, independently or jointly with other persons organizing and (or) carrying out the processing of personal data, as well as determining the purposes of processing personal data, the composition of personal data to be processed, the actions (operations) performed with personal data.

2.8. Personal data – any information relating directly or indirectly to a specific or identifiable User of the website https://globamba.com.

2.9. Personal data permitted by the subject of personal data for dissemination – personal data, access to an unlimited number of persons to which is provided by the subject of personal data by giving consent to the processing of personal data permitted by the subject of personal data for distribution in the manner prescribed by the Law on Personal Data (hereinafter referred to as personal data). data allowed for distribution).

Basic rights and obligations of the Operator

3.1. The Operator has the right: – to receive reliable information and / or documents containing personal data from the subject of personal data; – in the event that the subject of personal data withdraws consent to the processing of personal data, the Operator has the right to continue processing personal data without the consent of the subject of personal data if there are grounds specified in the Law on Personal Data; – independently determine the composition and list of measures necessary and sufficient to ensure the fulfillment of the obligations provided for by the Law on Personal Data and the regulatory legal acts adopted in accordance with it, unless otherwise provided by the Law on Personal Data or other federal laws.

3.2. The operator is obliged: – to provide the subject of personal data, at his request, with information regarding the processing of his personal data; – to organize the processing of personal data in the manner established by the current legislation of the Russian Federation; – to respond to requests and requests from subjects of personal data and their legal representatives in accordance with the requirements of the Law on personal data; – report to the authorized body for the protection of the rights of subjects of personal data, at the request of this body, the necessary information within 30 days from the date of receipt of such a request; – publish or otherwise provide unrestricted access to this Policy regarding the processing of personal data; – accept legal, organizational and technical measures to protect personal data from unauthorized or accidental access to them, destruction, modification, blocking, copying, provision, distribution of personal data, as well as from other illegal actions in relation to personal data data; – stop the transfer (distribution, provision, access) of personal data, stop processing and destroy personal data in the manner and cases provided for by the Law on Personal Data; – perform other duties provided for by the Law on Personal Data.

Basic rights and obligations of personal data subjects

4.1. Subjects of personal data have the right to: – receive information regarding the processing of their personal data, with the exception of cases provided for by federal laws. The information is provided to the subject of personal data by the Operator in an accessible form, and it should not contain personal data related to other subjects of personal data, unless there are legal grounds for disclosing such personal data. The list of information and the procedure for obtaining it is established by the Law on Personal Data; – require the operator to clarify his personal data, block or destroy them if the personal data is incomplete, outdated, inaccurate, illegally obtained or not necessary for the stated purpose of processing, and also take measures provided for by law to protect their rights; – put forward a condition for prior consent when processing personal data in order to promote goods, works and services on the market; – withdraw consent to the processing of personal data; – appeal to the authorized body for the protection of the rights of personal data subjects or in court, illegal actions or inaction of the Operator in the processing of his personal data; – to exercise other rights provided for by the legislation of the Russian Federation.

4.2. Subjects of personal data are obliged to: – provide the Operator with reliable data about themselves; – inform the Operator about the clarification (update, change) of their personal data.

4.3. Persons who have provided the Operator with false information about themselves or information about another subject of personal data without the consent of the latter, are liable in accordance with the legislation of the Russian Federation.

The Operator may process the following personal data of the User

5.1. Full Name.

5.2. Email address.

5.3. Phone numbers.

5.4. Year, month, date and place of birth.

5.5. Photo.

5.6. Details of identity documents.

5.7. The address of the actual place of residence and registration at the place of residence and (or) at the place of stay.

5.8. Information about education, profession, specialty and qualifications, details of documents on education, advanced training, results of creative and professional activities, personal achievements.

5.9. Information about marital status and family composition.

5.10. Information about property status.

5.11. Information about income received from medical vaccinations.

5.12. Information about previously occupied positions and length of service, military duty, military registration.

5.13. The site also collects and processes anonymous data about visitors (including cookies) using Internet statistics services (Yandex Metrika and Google Analytics and others).

5.14. The above data further in the text of the Policy are united by the general concept of Personal data.

5.15. Processing of special categories of personal data relating to race, nationality, political views, religious or philosophical beliefs, intimate life is not carried out by the Operator.

5.16. Processing of personal data permitted for distribution from among the special categories of personal data specified in Part 1 of Art. 10 of the Law on Personal Data is allowed if the prohibitions and conditions provided for in Art. 10.1 of the Personal Data Law.

5.17. The User’s consent to the processing of personal data permitted for distribution is issued separately from other consents to the processing of his personal data. At the same time, the conditions provided for, in particular, Art. 10.1 of the Personal Data Law. Requirements for the content of such consent are established by the authorized body for the protection of the rights of subjects of personal data.

5.17.1 Consent to the processing of personal data permitted for distribution, the User provides the Operator directly.

5.17.2 The Operator is obliged, no later than three working days from the date of receipt of the specified consent of the User, to publish information on the conditions of processing, on the existence of prohibitions and conditions for the processing by an unlimited number of persons of personal data permitted for distribution.

5.17.3 The transfer (distribution, provision, access) of personal data authorized by the subject of personal data for distribution must be terminated at any time at the request of the subject of personal data. This requirement should include the last name, first name, patronymic (if any), contact information (telephone number, e-mail address or postal address) of the subject of personal data, as well as a list of personal data, the processing of which is subject to termination. The personal data specified in this request can be processed only by the Operator to whom it is sent.

5.17.4 Consent to the processing of personal data permitted for distribution terminates from the moment the Operator receives the request specified in clause 5.17.3 of this Policy regarding the processing of personal data.

6.1. The processing of personal data is carried out on a legal and fair basis.

The storage of personal data is carried out in a form that allows determining the subject of personal data, no longer than required by the purposes of processing personal data, if the period for storing personal data is not established by federal law, an agreement to which the subject of personal data is a party, beneficiary or guarantor. The processed personal data is destroyed or depersonalized upon reaching the goals of processing or in case of loss of the need to achieve these goals, unless otherwise provided by federal law.

7.1. The purpose of processing the User’s personal data:
